1. Definitions

• Service(s): Refers to the website, and the business management and operational outsourcing services offered by Choixer, including but not limited to business strategy support, business development, sales support, marketing support, and other management departmental support.

• Client(s): Refers to any individual or entity that formally engages Choixer for its services through a separate, written service agreement.

• User(s): Refers to any visitor or user of the Choixer website.

• AI Technology: Refers to the artificial intelligence systems, algorithms, and models employed by Choixer as a core component of its Service delivery.

• Content: Refers to any text, graphics, images, audio, video, software, data compilations, and any other form of information capable of being stored in a computer that appears on or forms part of this Website.

2. Access and Use of Website

• Permitted Use: You are granted a limited, non-exclusive, non-transferable right to access and use the Choixer website for legitimate informational and business purposes.

• Prohibited Use: You agree not to use the website for any unlawful purpose or any purpose prohibited by these Terms. This includes, but is not limited to:

3. Choixer Services & Client Engagements

• Service Agreements: The specific terms, scope, deliverables, pricing (retainer, commission, or hybrid), and duration of any services provided by Choixer to a Client will be exclusively governed by a separate, formal written Service Agreement executed between Choixer and the Client. These Website Terms and Conditions do not constitute a Service Agreement and do not create a client relationship.

• AI Integration: Clients acknowledge that Choixer's services leverage AI Technology as a core component. While AI provides significant efficiency and analytical capabilities, all strategic decisions and ultimate responsibilities for outcomes remain with the Client. Choixer's human personnel provide oversight and strategic guidance.

• Client Data: Clients engaging our services understand that providing necessary business data is crucial for service delivery. Choixer will handle all client data in accordance with its Privacy Policy and the terms of the specific Service Agreement. Clients are responsible for ensuring they have the right to provide any data shared with Choixer.

4. Intellectual Property

• Website Content: All Content on the Choixer website, including but not limited to text, graphics, logos, images, audio clips, digital downloads, data compilations, and software, is the property of Choixer or its content suppliers and is protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

• Trademarks: The Choixer name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Choixer or its affiliates or licensors. You must not use such marks without the prior written permission of Choixer.

• Work Product (Client Engagements): The ownership of any intellectual property created during the provision of services to a Client (e.g., strategic plans, marketing materials, reports) will be defined and governed by the specific Service Agreement executed between Choixer and the Client.

5. Disclaimers

• No Warranties: The website and its content are provided on an "as is" and "as available" basis, without any warranties of any kind, either express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, or non-infringement. Choixer does not warrant that the website will be uninterrupted, error-free, secure, or that defects will be corrected.

• Accuracy of Information: While we endeavor to ensure the accuracy of the information on this website, Choixer does not warrant the completeness or accuracy of any information on the website.

• No Guarantees: As stated in our Legal Disclaimer, Choixer does not guarantee specific business results or outcomes from the use of its services.

6. Limitation of Liability

To the fullest extent permitted by law, in no event shall Choixer, its affiliates, directors, employees, agents, suppliers, or licensors be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

8. Governing Law and Jurisdiction

These Terms shall be governed and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any legal action or proceeding arising under or in connection with these Terms or your use of the Choixer website shall be brought exclusively in the state or federal courts. You hereby consent to the personal jurisdiction and venue of such courts.

9. Severability

If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

10. Changes to Terms and Conditions
